Terms of Use

1. Acceptance of Terms

By accessing or using MetalMetric at metalmetric.com ("the Service"), you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you are using MetalMetric on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

We reserve the right to update these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after changes are in effect constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to use MetalMetric. By creating an account, you confirm that you meet this requirement. If we become aware that a user is under 18, we will terminate the account immediately.

MetalMetric is available to users worldwide. You are responsible for ensuring your use of the Service complies with the laws of your jurisdiction, including any restrictions on importing or exporting precious metals data or financial information.

3. Description of Service

MetalMetric provides precious metals portfolio tracking, spot price data, melt value calculators, dealer discovery tools, and related features. The Service is available in three tiers:

• Free — limited vault items and basic features, no charge.
• Pro — expanded vault capacity, price alerts, and additional features, billed via Stripe.
• Elite — unlimited vault items, full data export, and all features, billed via Stripe.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. Your Account

You are responsible for maintaining the security of your account credentials. MetalMetric uses Clerk for authentication — we never store your password. You agree to:

• Maintain only one account per person. Creating multiple accounts to circumvent tier limits or abuse free features is prohibited.
• Keep your account information accurate and up to date.
• Notify us immediately if you suspect unauthorized access to your account.
• Not share your account credentials with any other person.

We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to protect your credentials.

6. Acceptable Use Policy

You agree to use MetalMetric only for lawful purposes and in a manner consistent with these Terms. The following uses are expressly permitted:

• Tracking your personal precious metals collection and portfolio.
• Using melt value and spot price tools for personal reference.
• Setting up price alerts for your own use.
• Accessing dealer listings for the purpose of finding dealers.
• Using dealer features if you are a registered MetalMetric dealer.

7. Prohibited Uses

• Scraping or automated data extraction. You may not use bots, crawlers, scrapers, or any automated means to access, collect, or extract data from MetalMetric — including spot prices, GSR data, dealer listings, or any other content — without our prior written permission.
• Reselling or redistributing data. You may not republish, resell, sublicense, or commercially distribute any data, prices, or content obtained from MetalMetric without our prior written permission.
• Reverse engineering. You may not decompile, disassemble, reverse engineer, or attempt to derive the source code or underlying logic of any part of MetalMetric.
• Automated API access. You may not make automated or programmatic requests to MetalMetric's APIs without a valid, authenticated session and our explicit written approval for commercial use cases.
• Circumventing access controls. You may not attempt to bypass rate limits, authentication, tier restrictions, or any other access controls.
• Multiple accounts for abuse. Creating multiple free accounts to avoid tier limits or exploit features beyond their intended scope is prohibited.
• Impersonation. You may not impersonate MetalMetric, its employees, other users, or any third party.
• Fraudulent dealer activity. Dealer accounts may not be used to issue fraudulent receipts, manipulate scan data, or deceive customers.
• Interfering with the Service. You may not introduce malicious code, attempt denial-of-service attacks, or otherwise interfere with the normal operation of MetalMetric.
• Unlawful use. You may not use MetalMetric for any purpose that violates applicable laws, including but not limited to anti-money-laundering regulations, securities laws, or data protection laws.

8. Intellectual Property

MetalMetric and its original content, features, functionality, design, logos, and trademarks are and will remain the exclusive property of MetalMetric. The Service is protected by copyright, trademark, and other applicable laws.

You retain ownership of the data you enter into your vault — your portfolio data is yours. You grant MetalMetric a limited, non-exclusive license to store and process that data solely for the purpose of providing the Service to you.

You may not use MetalMetric's name, logo, or branding in any context without our prior written permission.

9. Dealer Accounts

Dealer accounts are subject to additional terms beyond standard user accounts:

• Dealer listings must accurately represent your business. False or misleading information will result in immediate removal.
• QR receipts may only be issued for legitimate transactions between you and your customers.
• Dealers are responsible for ensuring their use of MetalMetric's dealer features complies with all applicable laws, including consumer protection and financial transaction regulations in their jurisdiction.
• MetalMetric does not guarantee any business results from dealer listings or QR receipt features.
• We reserve the right to suspend or remove any dealer listing at our discretion, with or without notice, if we believe it violates these Terms or misrepresents a business.

10. Subscriptions and Billing

Paid subscriptions (Pro and Elite) are billed on a recurring basis through Stripe. By subscribing, you authorize MetalMetric to charge your payment method on the applicable billing cycle.

• Cancellation — You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. Your data is never deleted due to cancellation — you revert to the free tier.
• Refunds — We do not offer refunds for partial billing periods. If you believe you have been charged in error, contact us within 7 days and we will investigate.
• Price changes — We will give at least 30 days' notice before changing subscription prices. Price changes apply at the start of your next billing period.
• Failed payments — If a payment fails, we will notify you and provide a grace period to update your payment method before downgrading your account.

11. Data Accuracy Disclaimer

Spot price data displayed on MetalMetric is sourced from third-party data providers and may be subject to delays, errors, or interruptions. MetalMetric makes no warranty as to the accuracy, completeness, timeliness, or fitness for any particular purpose of any price data or financial information displayed on the Service.

Always verify prices with your dealer before executing any purchase or sale. MetalMetric is not responsible for any financial loss resulting from reliance on data displayed on the Service.

12. Disclaimer of Warranties

MetalMetric is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. We do not warrant that data obtained through the Service will be accurate or reliable.

13. Limitation of Liability

To the fullest extent permitted by applicable law, MetalMetric shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, or goodwill — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to MetalMetric in the 12 months preceding the claim, or $50 USD, whichever is greater.

14. Termination

We reserve the right to suspend or terminate your account at any time if we determine, in our sole discretion, that you have violated these Terms. In cases of serious violation (fraud, scraping, security attacks), termination may be immediate and without prior notice.

You may delete your account at any time by contacting us. Upon deletion, your data will be removed in accordance with our Privacy Policy.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of MetalMetric shall be resolved through binding arbitration or in the courts of competent jurisdiction, and you consent to personal jurisdiction in those courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
